Vytěsnění minoritních akcionářůOn 20 June 2018, Fortbet Holdings Limited ("Fortbet") initiated squeeze out proceedings before the Enterprise Chamber (Ondernemingskamer) of the Amsterdam Court of Appeals (Gerechtshof Amsterdam) under the applicable Dutch law provisions. On 30 October 2018, the Enterprise Chamber granted Fortbet''s request and set the price at EUR 7.83 per share plus Dutch statutory interest as per 9 March 2018 (which comes down to EUR 7,94 per share as at 19 November 2018).On 19 November 2018, Fortbet paid an amount corresponding to the number of Fortuna shares it did not already own into the consignment account of the Dutch Ministry of Finance. As such, Fortbet became the sole shareholder of Fortuna by operation of Dutch law and the former minority shareholders have a right to receive their share of the proceeds from the Dutch consignment office (i.e. EUR 7.94 per previously held share).To ensure the most efficient distribution of proceeds, Fortuna understands that the CDCP is currently liaising with the Dutch consignment office to see if the entire amount can be paid out through the CDCP to all participants so that no further action is required from the participants and/or former shareholders.
